Agreement to Terms

These Terms of Service constitute a legally binding agreement between you and TRE KNGS, LLC, doing business as Tree Kings, concerning your access to and use of our website, services, and products.

Work Product

Unless otherwise agreed in writing, custom work product created specifically for you will be transferred to you upon full payment, while our pre-existing tools, methodologies, and general knowledge remain our property.

Payment Terms

• Late payments may incur interest charges and late fees

Confidentiality

Warranties and Disclaimers

Disclaimer

We do not warrant that our services will be uninterrupted, error-free, or completely secure. You acknowledge that technology services involve inherent risks and uncertainties.

Limitation of Liability

Our total liability for any claims arising from or related to our services shall not exceed the amount paid by you for the specific services giving rise to the claim during the twelve months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so these limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Tree Kings, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to:

Term and Termination

Termination by You

You may terminate your use of our services at any time. Termination of ongoing service engagements will be governed by the applicable service agreement.

Termination by Us

We may terminate or suspend your access to our services immediately, without prior notice, for any reason, including if you breach these Terms.

Effect of Termination

Upon termination, your right to use our services will immediately cease. Provisions that by their nature should survive termination will survive, including confidentiality obligations, intellectual property provisions, warranty disclaimers, and limitations of liability.

Dispute Resolution

Arbitration

Class Action Waiver

For ongoing service engagements, material changes to Terms will not apply retroactively without your consent.

General Provisions

Entire Agreement

These Terms, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and Tree Kings regarding our services.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Waiver

No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term.

Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or government actions.

Independent Contractors

The parties are independent contractors. These Terms do not create a partnership, franchise, joint venture, agency, or employment relationship.
